The American company Rocket Lab buys Iridium to challenge SpaceX’s Starlink and Amazon’s Leo.

Rocket Lab will acquire the pioneering satellite phone company, Iridium Communications, in an approximately $8 billion deal aimed at strengthening its presence in the satellite communications market. The agreement accelerates the California aerospace company's strategy to expand beyond launch services by adding an established satellite network.

California-based Rocket Lab aims to challenge SpaceX’s Starlink and Amazon Leo in satellite communications with the acquisition of Iridium.

Yesterday, the aerospace company headquartered in Long Beach, California, announced an $8 billion deal to acquire Iridium Communications, a pioneering company in the satellite phone sector, leveraging a competitive advantage similar to SpaceX’s, which combines a satellite constellation with proprietary rockets for their launch, reports Reuters.

The deal will combine Rocket Lab’s satellite launch and manufacturing capabilities with Iridium’s low Earth orbit constellation and radio frequencies, paving the way for the development of new direct communication services with smartphones and intensifying competition with SpaceX’s Starlink and Amazon Leo.

The market applauded the deal: Rocket Lab’s shares jumped 10%, while Iridium’s, which have already more than doubled this year, surged about 22%. The acquisition announcement also impacted the satellite communications sector: shares of Viasat and AST SpaceMobile saw strong gains, rising 22% and 19% respectively during the trading day, reports Bloomberg.

DETAILS OF THE DEAL

Rocket Lab will acquire Iridium Communications for $54 per share through a mixed cash and stock transaction valuing the company at about $8 billion.

Iridium shareholders will receive $27 in cash plus Rocket Lab shares, for a total value of $54 per Iridium share, representing a 24.1% premium over the last closing price. To finance the acquisition, Rocket Lab has secured commitments for a $3.6 billion senior secured bridge loan with a 364-day term from Deutsche Bank and Wells Fargo.

The transaction is expected to close by mid-2027.

THE GOAL

With Iridium, Rocket Lab aims to integrate design, manufacturing, launch, and management of satellite constellations into a single entity.

As explains Quartz, the deal will give Rocket Lab control over Iridium’s network of 66 low Earth orbit satellites, globally licensed L-band spectrum, and a customer base of over 2.55 million subscribers across government, defense, aviation, maritime, and commercial sectors.

The company stated that the goal is to create “a competitive and vertically integrated space company that designs, builds, launches, and operates its own constellations, providing critical communication capabilities to millions of users worldwide.”

The acquisition will indeed enable the combination of Rocket Lab’s launch and satellite manufacturing capabilities with Iridium’s low Earth orbit satellite network and its portfolio of radio frequencies dedicated to satellite communications. Rocket Lab is currently the second U.S. company after SpaceX in terms of number of launch missions conducted. A key element of the company’s strategy to launch its own satellite constellations is Neutron, its medium-lift reusable rocket, whose first flight is scheduled for the fourth quarter of 2026, Reuters further notes.

WHAT IS IRIDIUM

Iridium, founded by Motorola in the late 1980s, was among the pioneering companies in developing global satellite communication networks in low Earth orbit. After its 1999 bankruptcy, the company led by Matt Desch relaunched its business, establishing itself as a provider of satellite communication services for government clients and the aviation, maritime, and industrial sectors.

THE CONTRACT WITH THE PENTAGON

Back in 2019, Iridium announced the signing of a seven-year $738.5 million contract with the U.S. Department of Defense. The contract extended the collaboration with the Pentagon under the EMSS (Enhanced Mobile Services) program, which Iridium won in 2013. This was an unprecedented reconfirmation for the Virginia-based company, as the previous contract was $400 million for only five years. As part of the contract, Iridium will provide voice, transmission, and other secure global services via 66 low Earth orbit satellites.

CONQUERING THE DIRECT-TO-CELL MARKET

Today, one of the central elements of the deal with Rocket Lab is precisely Iridium’s global radio licenses, considered strategic for the development of direct communication services between satellites and smartphones.

“The deal with Iridium gives Rocket Lab a foothold in the emerging market of direct device communication,” thanks to the availability of the radio spectrum necessary to connect cell phones directly from space, said Peter Beck, CEO of Rocket Lab. “You can have all the satellites you want on the ground and all the rockets you want in the hangars, but if you don’t own the spectrum and landing rights needed to provide the required services, then it’s all useless,” he added.

Beck did not disclose which services will be developed leveraging Iridium’s assets, but the acquisition opens the prospect of a future satellite network capable of connecting directly to smartphones.

THE CHALLENGE TO STARLINK AND AMAZON LEO

Finally, the deal comes amid intense competition in the satellite communications market.

Musk’s company operates a global high-speed, low-latency broadband data and communications network powered by over 10,000 Starlink satellites for broadband and mobile in low Earth orbit, providing connectivity to millions of private, business, and government customers in 164 countries, territories, and other markets as of March 31, 2026. It also includes satellites dedicated to direct connections with smartphones through the Starlink Mobile service.

Amazon is also strengthening its presence in the sector. In April, the tech giant founded by Jeff Bezos announced the acquisition of Globalstar for $11.6 billion with the aim of increasing competition against Starlink and developing the direct communication market with mobile devices. The group’s satellite initiative, Amazon Leo, is currently in beta testing with commercial customers, while the large-scale service launch is expected by the end of the year.

Sector consolidation had already accelerated in recent months. Last September, SpaceX announced a roughly $17 billion deal to acquire radio spectrum from satellite operator EchoStar, followed in November by a second $2.6 billion agreement for additional licenses.
