Why Engineering is selling Alfahealth and Industries eXcellence to Accenture

Engineering has signed two binding agreements with Accenture for the sale of Alfahealth and Industries eXcellence Group, active respectively in digital healthcare and industrial software. All the details.

 

Engineering, one of the leading Italian ICT companies, is reducing its operational scope, while Accenture, a global consulting and technology services group, is expanding its presence in two sectors considered strategic. The agreements signed by these two entities for the sale of Alfahealth and Industries eXcellence are not just asset transactions but mark a significant shift in the strategies of the two groups. At the heart of the operation are digital healthcare, industrial software, and the growing importance of artificial intelligence in high value-added technological activities.

The completion of the operation remains subject to the authorizations required by Antitrust and Golden Power regulations. The closing is expected in the fourth quarter of the year.

CHANGE OF SCOPE FOR ENGINEERING

Engineering has signed two binding agreements with Accenture for the sale of the entire share capital of Alfahealth, active in the digital transformation of Italian healthcare, and the Industries eXcellence Group, specialized in the development of digital solutions for the industrial sector with a strong presence in the United States and some European markets.

The two assets, writes Teleborsa, represent approximately 18% of consolidated revenues and 25% of the group’s Adjusted EBITDA in 2025. These are therefore activities that contribute significantly to Engineering’s economic results. According to the data reported by the company, the group’s consolidated revenues amount to 1,759.7 million euros and Adjusted EBITDA to 280.3 million euros.

The sale entails a reduction in the group’s operational size but at the same time frees up financial resources and reduces exposure to activities considered no longer central to the new strategic direction.

REASONS FOR THE SALES

In the communications released by the group, the operation is linked to the desire to focus investments and resources on segments considered priorities. The main reference concerns artificial intelligence and the development of proprietary platforms.

CEO Aldo Bisio defined the agreements as “an important step in Engineering’s business refocusing path,” indicating among the objectives acceleration on AI, reduction of financial leverage, and strengthening in technological and industrial segments considered more attractive.

From an industrial point of view, the choice signals a transformation of the business model. Instead of maintaining a broad portfolio of specialized activities, Engineering aims to concentrate resources more on proprietary technologies, software platforms, and services related to generative artificial intelligence. In this context fits the recent launch of IS-IA, Italy’s Sovereign Intelligence Architecture, based on the EngGPT 2 language model developed internally by the company.

THE FINANCIAL IMPACT OF THE OPERATION

Engineering specified that the proceeds will be entirely in cash and that the resources obtained will be used to strengthen the group’s equity structure.

The company itself highlights the need to regain “degrees of strategic freedom” through lower financial leverage. For a company engaged in high capital intensity technological investments, a stronger financial structure can indeed facilitate new acquisitions, the development of proprietary platforms, and the enhancement of research and development activities.

WHAT ACCENTURE GAINS

For Accenture, the operation takes on a different meaning. The company is indeed strengthening its presence in two markets characterized by growing demand for digitalization.

In the case of Alfahealth, Teleborsa states, the acquisition allows the integration of a platform dedicated to the management of clinical and administrative processes and about 1,200 professionals specialized in the healthcare sector. The value of the operation lies especially in the skills developed in the Italian healthcare market, a sector that in recent years has seen significant investments in digitalization of services and data interoperability.

“Italy is experiencing a decisive phase for the transformation of its healthcare system, supported by increasing investments in digital healthcare, data interoperability, and new care models,” said Teodoro Lio, CEO of Accenture Italy.

THE ROLE OF INDUSTRIES EXCELLENCE

The second acquisition concerns Industries eXcellence Group, a company active in industrial software and a long-standing partner of Siemens Digital Industries.

In this case, Accenture’s interest mainly concerns strengthening skills in digital systems used by manufacturing and industrial companies. The growing spread of technologies such as digital twin, advanced simulation, automation, and industrial data analysis is indeed pushing many companies to invest in the integration between software and production processes.

According to what Accenture declared, the operation will expand competencies in Siemens industrial software and will lead to the creation of a new Center of Excellence in Italy dedicated to these activities.
